Terms of Service

1. Acceptance of Terms
By accessing or using the Quorum platform at byquorum.com, you agree to be bound by these Terms of Service ("Terms"). If you are using Quorum on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
If you do not agree to these Terms, do not access or use the platform. Your continued use of Quorum following any modification to these Terms constitutes your acceptance of the updated Terms.
2. Description of Service
Quorum is a subscription-based AI business team platform. It provides AI-powered agents representing business roles including, but not limited to, Chief Marketing Officer (CMO), Chief Financial Officer (CFO), Chief Technology Officer (CTO), Sales Manager, HR Manager, and more than 30 other specialist roles.
The platform enables businesses to use these AI agents to assist with campaigns, business planning, document generation, financial analysis, HR operations, design, and day-to-day operations. Features include, but are not limited to, campaign workspaces, voice briefings, outbound sales calls, boardroom sessions, mission automation, and deliverable management.
Quorum reserves the right to modify, suspend, or discontinue any feature of the platform at any time with reasonable notice where practicable.
3. Account Registration
To access Quorum, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it up to date
- Maintain the security and confidentiality of your account credentials
- Be responsible for all activity that occurs under your account
- Notify Quorum immediately of any unauthorized use of your account at legal@byquorum.com
One account is permitted per individual. You may invite team members to collaborate under your organization's account. Each invited team member is subject to these Terms.
Quorum reserves the right to refuse registration or terminate accounts at its discretion, including accounts that violate these Terms or our Acceptable Use Policy.
4. Subscriptions and Billing
Subscription Plans
Quorum is offered on a subscription basis. Subscriptions are billed in advance on a monthly or annual cycle through Stripe, Inc. By subscribing, you authorize Quorum to charge your payment method on a recurring basis.
Price Changes
Quorum may modify subscription pricing at any time. We will provide at least 30 days' advance notice of any price change, delivered via email and in-app notification. Your continued use of the platform following the price change constitutes acceptance of the new pricing.
Refunds
Monthly subscriptions are not refundable for partial months. Annual subscriptions are refundable within 14 days of initial purchase. After this window, annual subscriptions are non-refundable. Refund requests should be submitted to legal@byquorum.com.
Usage-Based Billing
Certain features, including voice briefings and outbound call functionality, are billed on a usage basis in addition to your subscription. Usage charges are applied against a prepaid credit balance. You are responsible for maintaining sufficient balance to use these features.
Non-Payment
If a payment fails or is not received, we will notify you and attempt to collect payment. If payment remains outstanding for more than 7 days, Quorum may suspend your access to the platform. Continued non-payment may result in termination of your account.
5. Acceptable Use
Your use of Quorum is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. By using Quorum, you agree to comply with the Acceptable Use Policy at all times.
You are solely responsible for all content you upload to the platform and all instructions you provide to AI agents.
6. AI-Generated Content
Quorum uses artificial intelligence to generate content, plans, designs, recommendations, and other outputs ("AI-Generated Content"). This AI-Generated Content is provided for informational and operational assistance purposes only.
- You are solely responsible for reviewing, verifying, and assessing the accuracy of all AI-Generated Content before acting on it or publishing it
- Quorum does not guarantee the accuracy, completeness, timeliness, reliability, or fitness for any particular purpose of AI-Generated Content
- AI-Generated Content may be incorrect, outdated, biased, or inappropriate — always apply your own professional judgment
- AI-Generated Content does not constitute legal, financial, medical, regulatory, or other professional advice
- Quorum is not liable for any loss or damage arising from your use of or reliance on AI-Generated Content
7. Intellectual Property
Your Content
All content you upload to Quorum — including documents, images, brand assets, and business information — remains your property. You grant Quorum a limited, non-exclusive, worldwide license to process, store, and use your content solely for the purpose of providing the platform services to you. This license terminates when you delete your content or close your account.
AI-Generated Outputs
AI-generated outputs produced using your inputs and under your direction are owned by you, to the extent permitted by the terms of the underlying AI providers (Anthropic and OpenAI). You are responsible for reviewing the current terms of these providers regarding ownership of AI outputs.
Quorum Platform
The Quorum platform, including its software, design, branding, technology, and all associated intellectual property, is owned by Quorum Inc. and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Quorum's intellectual property to you.
8. Data and Privacy
Your use of Quorum is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the platform, you consent to our data practices as described in the Privacy Policy.
9. Prohibited Conduct
In addition to the prohibitions set out in our Acceptable Use Policy, you agree not to:
- Reverse engineer, decompile, or disassemble any part of the Quorum platform
- Attempt to gain unauthorized access to any part of the platform, other user accounts, or our infrastructure
- Use automated tools, scripts, or bots to scrape, index, or replicate the platform's features or content
- Resell, sublicense, or make the platform available to third parties without Quorum's prior written consent
- Use the platform to build a competing product or service
- Circumvent or attempt to circumvent any access controls, security measures, or usage limits
10. Disclaimers
The Quorum platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Quorum does not warrant that:
- The platform will be uninterrupted, error-free, or available at all times
- Any defects or errors will be corrected
- AI-generated outputs will be accurate, complete, or appropriate for your intended use
- The platform will meet your specific requirements or expectations
Some jurisdictions do not allow the exclusion of implied warranties. If you are located in such a jurisdiction, the above exclusions may not apply to you.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Quorum's total aggregate liability for any claims arising out of or related to these Terms or your use of the platform is limited to the total amount you paid to Quorum in the twelve (12) months preceding the event giving rise to the claim.
In no event will Quorum be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Losses arising from your reliance on AI-Generated Content
- Losses caused by third-party service failures (including AI providers, payment processors, or cloud infrastructure)
- Any unauthorized access to or alteration of your data
These limitations apply whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, even if Quorum has been advised of the possibility of such damages.
12. Indemnification
You agree to defend, indemnify, and hold harmless Quorum Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the platform
- Content you upload or instructions you provide
- Your violation of these Terms or the Acceptable Use Policy
- Your violation of any applicable law or the rights of a third party
- Your use or distribution of AI-Generated Content
13. Termination
Either party may terminate this agreement at any time. You may terminate by closing your account through the platform settings or by contacting us at legal@byquorum.com.
Quorum may suspend or terminate your access immediately, without notice, for violations of these Terms or the Acceptable Use Policy. Quorum may also terminate with 30 days' notice for any other reason.
Upon termination, your right to access the platform ceases immediately. Your data will be retained and handled in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will continue to apply.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration conducted in Delaware, United States, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
EU and UK users retain any statutory consumer rights under applicable European or UK law that cannot be excluded or waived by this governing law clause.
15. Changes to These Terms
Quorum may modify these Terms at any time. We will provide at least 14 days' advance notice of material changes via email and in-app notification. Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the changes.
16. General
- Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Quorum regarding the platform.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver: Quorum's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.
- Assignment: You may not assign your rights under these Terms without Quorum's prior written consent. Quorum may assign its rights and obligations without restriction.
